1. INTRODUCTION AND AGREEMENT

These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("You" or "Franchisee"), and Shastrang Martial Art International Federation ("Shastrang," "We," "Us," or "Our"), a company registered in India.

By accessing our website, mobile application, or entering into a franchise/affiliation agreement with us, you agree that you have read, understood, and agree to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING OUR SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.

2. INTELLECTUAL PROPERTY RIGHTS

2.1 Ownership We are the sole owner or licensee of all intellectual property rights in our Services, including source code, databases, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

2.2 License to Use

• General Users: Granted a limited, non-exclusive, non-transferable license to access the Services for personal, non-commercial use.
• Franchisees: Granted a license to use the Shastrang Marks and System strictly in accordance with the provisions set forth in Section 7 of this agreement.

2.3 Prohibited Use No part of the Services, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

3. USER REPRESENTATIONS & PROHIBITED ACTIVITIES

By using the Services, you represent and warrant that:

1. All registration information you submit will be true, accurate, current, and complete.
2. You have the legal capacity to comply with these Terms.
3. You are not a minor in the jurisdiction in which you reside (or have parental permission).

You agree NOT to:

• Systematically retrieve data from the Services to create a collection, compilation, database, or directory without written permission.
• Circumvent, disable, or interfere with security-related features of the Services.
• Disparage, tarnish, or otherwise harm Shastrang or the Services.
• Use the Services to harass, abuse, or harm another person.
• Engage in unauthorized framing of or linking to the Services.
• Upload viruses, Trojan horses, or other harmful material.

4. MOBILE APPLICATION LICENSE

If you access the Shastrang Services via our mobile application (the "App"), we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on wireless electronic devices owned or controlled by you.

• Apple and Android Devices: When accessing the App via the Apple Store or Google Play, you acknowledge that this agreement is between you and Shastrang, not the App Distributor. We are responsible for maintenance and support, not the App Distributor.

5. MEMBERSHIP & INSTRUCTOR TRAINING (GENERAL)

5.1 Eligibility Affiliation and training are open to martial arts instructors, gym owners, and fitness enthusiasts. Applicants must be 18+ years of age to undergo the Instructor Training Program.

5.2 Conversion & Recognition

• Existing Black Belts: Instructors from other styles (e.g., Karate, Taekwondo) may apply for conversion. While we respect previous ranks, certification in Shastrang is subject to learning our specific bio-mechanics and passing the conversion assessment.
• Grading: All grading exams for students must be conducted or authorized by Shastrang HQ.

5.3 Certification Upon successful completion of the Residence Capsule Course (approx. 110 days/300-460 hours) and passing the requisite exam, you will receive a Shastrang Instructor Certification.

6. FRANCHISE AGREEMENT (COMMERCIAL TERMS)

This section applies to individuals or entities ("Franchisee") entering into a commercial partnership to operate a Shastrang Center.

6.1 Grant of Rights The Franchisor grants the Franchisee the right to operate a specific Shastrang Center, use the Shastrang logo, and teach the official curriculum within a defined Territory.

6.2 Term and Renewal

• Initial Term: 2 Years from the Effective Date.
• Renewal: Renewable subject to good standing and payment of the Renewal Fee.

6.3 Franchisee Obligations

1. Curriculum Adherence: Strictly follow the Shastrang syllabus. No mixed martial arts styles or unauthorized modifications are permitted.
2. Safety & Infrastructure: The Center must meet safety standards (proper matting, hygiene).
3. Uniforms & Equipment: Franchisee must exclusively use and sell approved Shastrang merchandise obtained from authorized suppliers.
4. No Competing Business: Franchisee agrees not to operate a competing martial arts business within the Territory for the duration of the agreement and for 2 years post-termination.

6.4 Performance Clause ("Use It or Lose It") Exclusivity of the Territory is contingent upon performance. If the Franchisee fails to enroll and maintain a minimum of 50 active students by the end of December, Shastrang HQ reserves the right to revoke territory exclusivity.

6.5 Termination Shastrang HQ may terminate this agreement immediately for cause, including:

• Failure to pay Royalties for two consecutive months.
• Conducting activities damaging to the Shastrang reputation.
• Violation of Technical Standards (teaching dangerous/fake techniques).

7. SCHEDULE OF FEES & TERRITORY

The following financial and territorial terms apply based on the location of the Franchisee.

7.1 DOMESTIC FRANCHISE (INDIA)

8. MARKETING & DIGITAL RIGHTS

8.1 Geo-Restriction Franchisees may only market physically within their designated Territory. Marketing in a neighboring franchisee’s territory is strictly prohibited.

8.2 Digital Marketing Digital advertisements (Facebook/Google Ads) must be geo-targeted specifically to the pin codes within the defined Territory.

8.3 Online Exception Shastrang HQ retains the absolute right to sell online courses, digital merchandise, or virtual memberships to customers residing anywhere, including within the Franchisee’s Territory.

9. DISCLAIMERS & LIMITATION OF LIABILITY

9.1 Disclaimer THE SERVICES AND FRANCHISE RIGHTS ARE PROVIDED ON AN "AS-IS" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE SPECIFIC EARNINGS OR BUSINESS SUCCESS FOR FRANCHISEES.

9.2 Limitation of Liability IN NO EVENT WILL SHASTRANG, ITS DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING LOST PROFIT OR REVENUE, ARISING FROM YOUR USE OF THE SERVICES OR OPERATION OF A FRANCHISE.

10. GOVERNING LAW AND DISPUTE RESOLUTION

10.1 Governing Law These Terms and any agreements shall be governed by and defined following the laws of India.

10.2 Dispute Resolution Any disputes arising out of or in connection with these Terms or the Franchise Agreement shall be resolved via binding arbitration in Panchkula, Haryana, India. You agree to irrevocably submit to the exclusive jurisdiction of the courts located in Panchkula/Haryana.
